Students are allowed to participate in the course provided that they have completed the enrolment procedure in any graduate (Bologna II) program.

Objectives and competences

To present the students with a broad array of problems and issues inthearea of corporate governence from the genesis of the problem itself, to theoretical frameworks and academic debates, to solutions and their problems. COMPETENCES: New knowledge and understanding; Critical analysis of problems and proposed solutions; Synthesis of theoretical concepts, international recommendations, and implemented solutions; Collaboration and teamwork; Oral and written communication.

Content (Syllabus outline)

Corporate governance concerns key relationships between the corporation, management, owners, supervisors and wider participants in the operation of the corporation. Chapter 1: - Corporation: concept, the origins, the rise and demise? - The problem of governance: ownership, ownership structure and separation of ownership and control - Corporate governance theories - Purpose of the corporation: a debate about the purpose of the corporation Chapter 2: - Institutional framework of corporate governance - Monitoring: supervisory bodies, membership and operation Chapter 3: Market paradigm: the invisible hand of the market as the solution to the corporate governance problem - Concept of capital markets and changes in the structure of market participants - Securities market - Market for corporate control - Market for managerial talent Chapter 4: Investors and financial intermediaries - Institutional investors and sovereign funds - Private funds - Activist Chapter 5: Family businesses - Corporate governance in family businesses - Family ownership and control: succession dilemmas Chapter 6: Technology companies with a dominant owner - Non-ownership control of tech companies - Management problem in technology companies Chapter 7: Globalisation of corporate governance - Convergence of CG systems - The OECD, the World Bank (IFC), national associations of supervisors and the role of governance codes and recommendations of good practices

Intended learning outcomes:

After successful completion of this course the students will: 1. Gain new knowledge and understand the broad agenda in corporate governance field including the genesis of the problem of governance, theoretical and intellectual framework of the problem of governance, modern institutional solutions to this problem, conditions required for the effective functioning of institutional solutions and the regulations maintaining those conditions, the dilemmas created by the new balance of power between new types of investors on capital markets, new perspectives and challenges for the future development of corporate governance field. 2. Have knowledge to analyze business press to make inferences about the developments in companies, capital markets, and in the global context. 3. Have hands on experience in using case studies for advancing their understanding of problems of governance on corporate, national, and international level. 4. Develop effective communication skills through meaningful participation in weekly seminars, collaboration in team work, and in class presentations.
