Short content

(I) Corporate status rules: defining corporate law and its sources, legal personality, activity with a view to profit, size of companies, registered name (firm), registered office (seat), activity, representatives, liability and piercing the corporate veil, register, trade secret, non-compete obligation and conflict of interests, sole proprietor, unlimited company, limited partnership, double partnership, partnership limited by shares, limited liability company, public limited company, dissolution. (II) Contract law: principles of contract law, requirements for concluding a contract, change and dissolution of contracts, clausula rebus sic stantibus, sales contract, contract for work, author’s contract, license agreement, tort law. (III) Competition law: antitrust law and unfair competition law, defining restriction of competition, general clauses system, non-exhaustive listing of prohibited acts, cartel, agreements between undertakings, decisions by associations of undertakings and concerted practices of undertakings, abuse of a dominant position, unfair competition law. (IV) Intellectual property law: constitutional framework for the protection of copyright and other rights deriving from artistic, scientific, research, and invention activities, Paris Convention for the Protection of Industrial Property, Slovenian normative framework regarding invention activities, legal definition of invention and patent, restrictions and exceptions to patent protection, term of a patent and term of a short-term patent, invention and patent, employee innovation, industrial designs, marks, geographical indications, copyrights and related rights.
